Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Tawrio procurement automation platform (the “Service”) provided by Tawrio (“Tawrio,” “we,” “us,” or “our”). By creating an account or using the Service, you (“you” or the “Customer”) agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind it.
1. The Service
Tawrio provides software that helps businesses run procurement by sending requests for quotation (RFQs) to their suppliers, receiving and analyzing supplier responses, and managing the resulting communications and documents. We may update, add, or remove features from time to time.
2. Your account and acceptable use
You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account. You agree to use the Service only for lawful business purposes and not to misuse it or interfere with its operation or security.
3. AI and automated analysis are assistive, not a warranty
The Service uses automated systems and third-party AI (large language model) providers to extract structured information from communications (such as prices, quantities, and terms) and to produce assessments — including quote extraction, technical specification matching, and coverage analysis. These outputs are automated, assistive estimates that may be incomplete, inaccurate, or out of date. They are not professional, legal, engineering, or procurement advice, and they are not a representation or warranty by Tawrio that any quote, product, or supplier meets your requirements or technical specifications. Spec-match results (for example, “meets,” “exceeds,” or “below spec” indicators) and coverage badges are provided to assist your own review and must not be relied upon as a substitute for it.
4. Your responsibility for procurement decisions
You are solely responsible for reviewing supplier quotes, verifying specifications and terms directly with your suppliers, and for all purchasing decisions, selections, and purchase orders you make using the Service. Tawrio is a software tool only; it is not a party to, broker of, or guarantor of any transaction, contract, or relationship between you and any supplier, and it does not procure goods or services on your behalf. Any contract you enter with a supplier is solely between you and that supplier.
5. Customer data and privacy
Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms. You are responsible for having a lawful basis to use the Service to process information about your suppliers and their staff.
6. Service provided “as is”
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service or any AI output will be uninterrupted, error-free, or accurate.
7. Limitation of liability
To the maximum extent permitted by law, Tawrio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or relating to your use of the Service or any reliance on its AI or automated outputs — including any procurement, purchasing, or supplier decision you make using the Service — even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of the fees you paid to Tawrio in the 12 months before the event giving rise to the claim, or USD 50. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
8. Indemnification
You agree to indemnify and hold harmless Tawrio and its personnel from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your procurement and purchasing decisions, your contracts and dealings with suppliers, or your breach of these Terms.
9. Fees
Fees, billing cycles, and plan terms are as described at sign-up or in a separate order or agreement. Unless required by law or stated otherwise, fees are non-refundable.
10. Term and termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or as needed to protect the Service or other users. Sections that by their nature should survive termination (including Sections 3, 4, 6, 7, and 8) will survive.
11. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new “Last updated” date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance.
12. Governing law and contact
